What this transaction can transfer
- The buyer receives the assignable rights, title, and interest the transferor actually controls in the defined asset and listed deliverables.
- The buyer may commercialize, adapt, combine, redistribute, sublicense, or otherwise deploy the transferred materials within the scope of the executed transaction and applicable law.
- The buyer may shape future branding, naming, distribution, and commercialization strategy for the transferred package.
- The buyer may use the transferred materials in internal or external AI workflows where the agreement and applicable law permit it.
What remains legally important
- Ownership / Assignment can be initiated only by the current active Exclusive holder for the same asset.
- Only rights and materials that are actually controlled and expressly included in the transaction can transfer.
- Not every AI-related element is guaranteed to qualify as property under every intellectual-property regime.
- Pre-existing Commercial Licenses, if any, may survive until expiry and are not erased merely because a later premium transaction occurs.
- Third-party rights, mandatory law, and materials not listed as deliverables remain outside the scope of the transfer.
Delivery, records, and certificate
Ownership / Assignment deals are documented more carefully than ordinary licenses. The buyer receives the asset package delivered for the transaction, any additional listed deliverables, a buyer-side transaction record, and a License Certificate summarizing the closing.
No prompts, datasets, documentation, model weights, or source files are implied unless they are expressly listed for that deal.
