1. Acceptance and Binding Effect
These Terms of Service ("Terms") govern access to and use of the AI-People platform, website, and related services (collectively, the "Platform").
By creating an account, accessing the Platform, purchasing a subscription, placing an order, or using licensed assets, you confirm that you have read, understood, and agreed to these Terms and all incorporated documents.
If you do not agree, you must not access or use the Platform.
2. Contracting Party and Contact
"AI-People," "we," "us," and "our" means the Platform operator identified in the legal and contact information published on the Platform at the time you accept these Terms (the "Operator").
These Terms form a binding agreement between you and the Operator.

3. What the Platform Is
AI-People is a moderated two-sided marketplace for listing, licensing, and transacting in AI-generated persona assets and related deliverables.
The Platform does not provide AI model training, inference, or hosting services.
The Platform provides marketplace infrastructure, moderation, checkout rails, transaction records, and policy enforcement.
4. Document Architecture and Priority
These Terms are the base agreement. Additional documents apply by user role and transaction type, including:
- Purchase & Licensing Terms (buyer-side purchase and licensing layer);
- Creator Agreement (creator onboarding, listing, warranties, and payout framework);
- Subscription Terms (access layer only);
- Crypto Payment & Payout Terms (digital-asset payment rails and payout risk rules);
- Custom Order / Commissioned Work Terms (commissioned custom-order lifecycle);
- Licensing Policy and specific license agreements selected in transaction flow;
- Content Policy, NSFW Policy, and other safety and moderation policies.
If documents conflict, the more specific document controls for its specific subject matter and transaction scope. Transaction-specific records and selected license agreements control rights granted in that transaction.
5. Definitions and Role Separation
Buyer means a user acquiring access rights, license rights, or assigned rights through the Platform. Creator means a user listing and licensing AI personas or related assets through the Platform.
Listing means a marketplace offer page. Purchase means a completed transaction confirmed by Platform records. Subscription means paid feature access and is not, by itself, a license or ownership transfer.
Platform role: marketplace operator and compliance layer. Creator role: rights source and listing party. Buyer role: licensed-use party responsible for lawful deployment.
6. Eligibility and Accounts
You must be at least eighteen (18) years old and legally capable of entering binding contracts.
You are responsible for account credentials, activity under your account, and accuracy of your account information.
The Platform may require verification steps for risk, fraud, policy, or compliance reasons.
7. Marketplace Transactions and Binding Point
Browsing a listing, submitting a request, opening checkout, or generating an invoice does not, by itself, complete a transaction.
A transaction becomes binding only after required conditions are met, including any required creator approval, payment confirmation, and Platform transaction recording.
Rights become effective only according to the selected governing agreement and recorded transaction state.
8. Subscriptions and Access Layer
Some Platform functionality may require an active subscription according to Subscription Terms.
Subscription status controls feature access only and does not grant ownership, assignment, or license rights by itself.
8A. Creator Publication Credits
Publication Credits may apply before creators submit new packages for moderation. Publication Credits are a Creator-side submission mechanism and are separate from buyer subscriptions, buyer purchases, license fees, custom-order payments, and payout balances.
A Publication Credit is consumed only when a new package is first submitted for moderation. Draft work remains free, and resubmission of the same package after requested fixes does not consume a new Publication Credit.
Publication Credits cover submission review and do not by themselves provide approval, publication, catalog visibility, ranking, promotion, revenue, or sales. Moderation, policy compliance, rights verification, and platform quality standards remain fully applicable.
9. Copyright Infringement
We respond to copyright infringement claims under applicable DMCA procedures. Full notice, takedown, and counter-notice requirements are published at /legal/dmca.
By uploading, posting, or submitting content, you represent that you have the rights required to do so. Rights violations may result in content removal, account suspension or termination, and other legal remedies available under applicable law.
10. Licensing and Scope of Rights
Rights are defined by the specific agreement selected and completed in transaction flow, including Commercial License, Exclusive Commercial Rights, or Ownership / Assignment structures where available.
License certificates may summarize transaction data, but they do not replace the governing agreement and transaction record.
Any use outside granted scope is prohibited.
11. Custom Orders / Commissioned Work
Custom-order workflows are governed by the Custom Order / Commissioned Work Terms, including negotiation, payment, delivery, acceptance, dispute, and cancellation stages.
Custom-order completion status and rights outcome are determined by Platform order records and applicable licensing terms.
12. Payments, Crypto Rails, and Payouts
Payments and payouts may be processed in supported digital assets and networks as described in Crypto Payment & Payout Terms.
Users are responsible for wallet and network correctness. Blockchain confirmations, network delays, and irreversible transfer risks are user-side risks unless mandatory law states otherwise.
Creator payouts may be delayed, held, reserved, offset, or rejected for disputes, fraud/compliance review, policy breaches, or operational risk controls.
13. Refunds, Chargebacks, and Remedies
Transactions are generally final once the applicable rights or access are issued, except where mandatory law requires otherwise or where transaction-specific staged remedies apply.
Abusive chargeback behavior, fraud, or payment circumvention may trigger account restrictions, rights suspension, and additional enforcement.
14. Prohibited Use and Synthetic Identity Restrictions
Users must not engage in unlawful, deceptive, abusive, infringing, exploitative, impersonating, non-consensual, or policy-prohibited activity.
Users must not present AI personas as real natural persons, claim ungranted rights, bypass moderation controls, or misuse content in ways that violate laws, platform policies, or transaction terms.
15. Moderation, Enforcement, and Platform Discretion
The Platform may review, classify, restrict, delist, remove, suspend, or terminate content, listings, transactions, or accounts when reasonably necessary for policy enforcement, legal compliance, or platform safety.
Where feasible and appropriate, the Platform may provide notice. Immediate action may be taken without prior notice when risk controls require urgency.
16. Intellectual Property and Records
Platform software, interfaces, branding, and infrastructure remain the Operator's property.
Rights in listed assets remain with creators unless explicitly transferred under applicable transaction documents.
The Platform may maintain transaction, moderation, compliance, payout, and risk-control records.
17. Disclaimers and Limitation of Liability
The Platform is provided "as is" and "as available." To the maximum extent permitted by law, the Operator disclaims implied warranties.
To the maximum extent permitted by law, the Operator is not liable for indirect, incidental, consequential, exemplary, or punitive damages.
Aggregate liability is limited to amounts paid by the user to the Platform during the twelve (12) months preceding the event giving rise to the claim.
18. Suspension, Termination, and Survival
Access may be suspended or terminated for breaches of these Terms, incorporated documents, or applicable law.
Upon termination, access rights may end, while surviving transaction rights and obligations continue according to governing agreements and mandatory law.
Clauses on payments, compliance records, IP, moderation, enforcement, liability limits, and dispute framework survive termination where legally permitted.
19. Governing Law, Updates, and Contact
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
The Platform may update these Terms for legal, product, operational, or risk reasons. Updated versions apply from their published effective date unless a later date is stated.
