Commercial License Agreement

1. Defined Subject Matter and License Grant

This Commercial License Agreement grants the buyer a non-exclusive, non-transferable, fixed-term right to use the Licensed Asset identified in the applicable order, purchase record, and License Certificate.

The License covers the Asset Package delivered for that transaction and only those Deliverables expressly included in the transaction record or a supplemental schedule. No ownership or assignment is transferred under this Agreement.

2. Effective Date and Term

The License becomes effective on the effective date recorded in the order or License Certificate after full payment and successful transaction completion.

Unless the platform expressly states otherwise in the transaction record, the Commercial License term is six (6) months from that effective date.

Renewal or upgrade is available only if AI-People still has authority to grant the renewal at the time of renewal and no later Exclusive License or Ownership / Assignment transaction has blocked further Commercial renewals for the same Licensed Asset.

3. Permitted Business Uses

During the active term, the Licensee may use the Licensed Asset and Asset Package for ordinary business use, including:

  • advertising, marketing, and branded campaigns;
  • social media, websites, landing pages, and digital presentations;
  • product packaging, promotional materials, and brand communications;
  • internal and external commercial content created for the Licensee's own operations.

The Licensee may allow its employees, controlled affiliates, and contractors to work with the Licensed Asset solely for the Licensee's benefit, provided the Licensee remains responsible for their compliance with this Agreement.

4. Internal AI Use

During the active term, the Licensee may use the Asset Package as internal reference material or as an input for internal AI workflows, including internal training, internal fine-tuning, internal creative development, and internal testing.

This permission is limited. The Licensee may not use the Commercial License to:

  • create, offer, or sell a substitute AI persona or clone of the Licensed Asset;
  • train or distribute a public model, dataset, or API product centered on the Licensed Asset;
  • redistribute the Asset Package or any materially similar replacement package to third parties;
  • circumvent the non-exclusive, non-transferable, and fixed-term limits of this Agreement.

5. Restrictions

The Licensee may not, directly or indirectly:

  • sell, sublicense, assign, transfer, or relicense the Licensed Asset or this Agreement;
  • make the raw Asset Package available for download or reuse by unrelated third parties;
  • offer the Licensed Asset as a standalone marketplace item, catalog product, API, or stock asset;
  • claim authorship or ownership of rights that are not expressly granted under this Agreement;
  • file any registration or recordation that misstates authorship or ownership of the Licensed Asset;
  • use the Licensed Asset in unlawful, deceptive, defamatory, or prohibited content categories;
  • continue new use of the Licensed Asset after expiry or termination of this License.

6. Non-Exclusivity and Later Premium Transactions

This Agreement is non-exclusive. The Licensed Asset may also be licensed to other buyers unless and until a later Exclusive License or Ownership / Assignment transaction becomes effective for the same Licensed Asset.

If a later Exclusive License or Ownership / Assignment transaction becomes effective, no new Commercial Licenses for the same Licensed Asset will be issued after that effective date unless the later transaction expressly permits it.

Commercial Licenses issued before that later premium transaction remain valid until their stated expiry dates, but they are not renewable thereafter.

7. Ownership and Retained Rights

All rights not expressly granted under this Agreement remain reserved. The Creator or other applicable rightsholder retains title and ownership to the extent not separately assigned.

AI-People retains limited rights to maintain transaction records, payment records, compliance files, moderation records, fraud prevention records, dispute documentation, and archival evidence of the transaction.

8. License Certificate and Transaction Records

The platform may issue a License Certificate for this Commercial License. The certificate summarizes the transaction and identifies the buyer, the Licensed Asset, the effective date, and the license type.

If there is any conflict between a generic certificate summary and the governing agreement, the governing agreement, order record, and any supplemental schedules control.

9. Suspension and Termination

This Agreement terminates automatically upon the earliest of the following:

  • expiration of the stated term;
  • material breach of this Agreement, the Terms of Service, or applicable platform policies;
  • fraud, payment reversal, or other failure of consideration for the transaction, where permitted by law.

Upon termination or expiry, the Licensee must cease new exploitation of the Licensed Asset and stop any new distribution that depends on continued license rights, except to the limited extent continued retention is required for legal compliance, internal recordkeeping, or already-completed historical materials.

10. Disclaimers

The Licensed Asset and Asset Package are provided "as is" and "as available" to the maximum extent permitted by law.

Neither AI-People nor the Creator guarantees commercial success, fitness for a particular purpose, legal registrability, uninterrupted availability, or non-infringement beyond the representations expressly made in the governing documents.

11. Limitation of Liability

To the maximum extent permitted by law, AI-People and the Creator are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to this Agreement or use of the Licensed Asset.

12. Governing Law and Agreement Hierarchy

This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.

This Agreement must be read together with the Terms of Service, the Licensing Policy, the order record, the License Certificate, and any supplemental schedules or disclosures. Any dispute arising out of this Agreement shall be resolved exclusively in the state or federal courts located in Delaware, unless applicable law requires otherwise.
