What exclusivity means here
Exclusive License is a control model, not an ownership slogan. Once effective, the asset is intended to stop receiving new commercial sales through the standard marketplace flow, and one buyer becomes the sole party with new exclusive commercial rights for the active 12-month term.
What the buyer may do
- One buyer becomes the only party that may receive new commercial rights in the asset from the effective date forward.
- The buyer may use the asset package across its brands, controlled affiliates, internal teams, agencies, and service providers acting for the buyer.
- The buyer may adapt the delivered materials for campaigns, publishing, brand systems, and internal AI workflows.
- The platform is intended to stop future standard marketplace sales of the same asset after the Exclusive License becomes effective.
What it does not transfer
- Exclusive License does not by itself assign title, authorship, or general ownership in the asset.
- Pre-existing Commercial Licenses, if any, may continue until their stated expiry dates and create a disclosed tail period.
- No public relicensing, sublicensing, resale, or transfer of the exclusivity grant unless a separate written agreement expressly permits it.
- Use must remain within law, platform policies, and the governing agreement.

Documentation and evidence
Completed Exclusive transactions are recorded in the buyer account and accompanied by a License Certificate. The certificate confirms the buyer, asset, effective date, and transaction type. If a prior commercial tail exists, that information may also be disclosed in the transaction record or supplemental materials.
The certificate is evidence of issuance. The governing agreement still controls the exact legal scope.
Secure exclusive commercial control without overstating ownership
Use Exclusive when one-buyer market control matters, and move to Ownership / Assignment only when the transaction truly needs a transfer structure. Ownership / Assignment is available only to the current active Exclusive holder.
