Crypto Payment & Payout Terms

1. Scope
These Payment Terms apply to:
- subscription payments;
- license purchases;
- Creator-side Publication Credit purchases;
- creator payouts;
- marketplace revenue distribution;
- any other transactions conducted using supported digital assets.
2. Accepted Digital Assets and Networks
The Platform supports payments in digital assets and networks available in the payment widget at checkout. The recommended route is USDC on Solana.
The Platform may add or remove supported assets or networks at its discretion. The latest list of available assets and networks is shown directly in the payment widget.
Users are solely responsible for selecting the correct network and wallet address.
3. Pricing, Reference Value, and Volatility
All prices displayed on the Platform are denominated in United States Dollars (USD). Payment is settled in the selected crypto asset at the exchange rate shown in the payment widget at the time of checkout.
Users acknowledge that:
- digital assets are subject to market volatility;
- digital assets used for settlement are not legal tender and may experience market volatility;
- the Platform does not guarantee price stability or exchange rates outside the Platform environment.
4. Payment Process
Payments must be completed in full before access, licenses, or content are delivered.
A transaction is considered completed only after sufficient blockchain confirmations.
The Platform is not responsible for:
- delayed confirmations;
- network congestion;
- incorrect wallet addresses;
- unsupported networks.
4A. Publication Credit Payments
Publication Credit payments are Creator-side payments for package submission credits. They are not license purchases, buyer subscriptions, advertising purchases, paid placement, or fees for guaranteed publication.
Publication Credits are credited to the Creator account only after the Platform receives sufficient provider confirmation and records the payment as completed.
Once a Publication Credit is consumed by submitting a package to moderation and the review has been processed, it is generally not restored automatically if the package is rejected, removed, or not published due to policy, rights, quality, safety, compliance, or moderation reasons.
5. Non-Refundable Transactions
All crypto payments are final and non-reversible once confirmed on the blockchain.
Refunds are not provided for completed transactions, except where required by applicable law.
Users expressly acknowledge the irreversible nature of blockchain transactions.
6. Platform Funds Handling
(No Escrow / No Fiduciary Duty)
The Platform may temporarily hold funds for:
- transaction verification;
- fraud prevention;
- dispute review;
- compliance and operational processing.
Such holding does not constitute escrow, custodial services, or trust management.
The Platform does not assume any fiduciary, trustee, or similar obligations toward users.
7. Creator Earnings and Revenue Share
Unless otherwise specified:
- creators receive 75% of net revenue from applicable transactions;
- the Platform retains 25% as a service and marketplace fee.
Revenue shares apply to:
- Commercial License sales;
- Exclusive License listings (where applicable);
- Ownership listings retained on the Platform.
8. Payout Conditions
Creator payouts are subject to the following conditions:
- minimum payout threshold: 10 USDC (Solana);
- payout requests are reviewed before processing;
- approved payout requests are typically processed within 1 to 3 business days, although network or provider delays may extend timing.
Creators are solely responsible for providing accurate wallet details.
The Platform does not guarantee instant withdrawals and may delay, hold, or reject payouts in cases of fraud review, compliance review, disputes, policy violations, incorrect wallet details, or operational risk controls.
9. Transaction Fees
Blockchain network fees:
- are borne by the receiving party unless otherwise stated;
- may be deducted from payout amounts where applicable.
The Platform does not control third-party network fees.
10. Taxes and Reporting
Users are solely responsible for determining and fulfilling any tax obligations arising from payments or earnings.
The Platform does not provide tax advice or withholding services.
The Platform may report transactions or user activity if required by applicable law or regulatory obligations.
11. Compliance and Risk Controls
The Platform reserves the right to:
- delay or suspend transactions;
- request additional verification;
- block wallets or accounts involved in suspicious or unlawful activity.
Such actions may be taken without prior notice where required by law or risk management.
Users are responsible for ensuring that their use of digital assets and cryptocurrency transactions complies with applicable laws and regulations in their jurisdiction.
12. Service Availability and Risks
Users acknowledge that:
- blockchain networks are subject to technical failures, forks, or disruptions;
- regulatory changes may affect crypto transactions;
- access to payment services may be modified or restricted.
The Platform is not liable for losses resulting from such events.
13. Limitation of Liability
To the maximum extent permitted by law, the Platform shall not be liable for losses arising from:
- incorrect transactions;
- blockchain failures;
- third-party wallet providers;
- network outages or delays.
The Platform's total liability relating to payments and payouts shall not exceed the total fees paid to or received through the Platform by the user during the twelve (12) months preceding the event giving rise to the claim.
14. Governing Law and Jurisdiction
These Payment Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively in the state or federal courts located in the State of Delaware.
15. Entire Agreement
These Payment Terms, together with the Terms of Service, constitute the entire agreement governing crypto payments and payouts on the Platform.
