Creator Agreement

The Creator represents and warrants that:

• all AI Personalities are fully AI-generated;
• no AI Personality is based on, depicts, or resembles a real individual;
• no third-party intellectual property or personality rights are violated;
• all content complies with applicable laws and Platform policies;
• NSFW content, if any, is accurately categorized and labeled.

The Creator bears full responsibility for any breach of these warranties.

6.1 Commercial License

The Creator authorizes the sale of multiple non-exclusive Commercial Licenses, each with a fixed term of business use. Renewal, if offered at all, remains subject to then-current availability, platform rules, and the absence of a later effective premium claim over the same asset.

6.2 Exclusive Commercial Rights

Upon the effective date of an Exclusive Commercial Rights transaction:

• no new Commercial Licenses or additional Exclusive transactions may be issued for the same asset;
• previously issued Commercial Licenses remain valid until their disclosed expiry dates;
• title and ownership remain with the Creator except to the extent rights are separately assigned elsewhere;
• the Creator must not authorize new exploitation that conflicts with the exclusive buyer's granted commercial rights.

6.3 Ownership / Assignment

Upon the effective date of an Ownership / Assignment transaction:

• the Creator agrees to transfer only the assignable rights and listed deliverables actually controlled by the transferor and expressly covered by the deal;
• previously issued Commercial Licenses, if disclosed, remain effective until their expiry dates;
• the Creator must cease new exploitation or distribution inconsistent with the transfer once the deal becomes effective;
• the Platform may retain limited archival, compliance, and marketplace-record materials unless the executed deal expressly states otherwise.

Platform commission: 25%

Creator share: 75%

Payments are:

• collected by the Platform;
• credited to an internal Creator balance;
• withdrawable upon request once the minimum payout threshold is met.

Network transaction fees are borne by the Creator.

The Platform may delay or withhold payouts in cases of disputes, violations, or suspected abuse.

Creator-side Publication Credits may apply before a new AI Personality or asset package is submitted for moderation.

One Publication Credit covers one new package submission for moderation review. It does not include catalog placement, ranking, advertising, promotion, approval, publication, sales, buyer access, or any specific moderation outcome.

Draft creation, draft editing, and draft storage remain available without Publication Credits. A Publication Credit is consumed when the Creator first submits a package into moderation. If the same package is returned for fixes and resubmitted, that resubmission does not consume an additional Publication Credit.

If a package is rejected or removed for policy, rights, quality, safety, compliance, or moderation reasons after review has been processed, the Publication Credit is generally treated as used. The Platform may issue a manual correction or credit adjustment where it determines that a clear operational or technical error occurred.

The Platform may facilitate communication between buyers and the Creator following a transaction.

8.1 Platform-only commercialization of listed assets

While an AI Personality or related asset package is listed on the Platform, and with respect to any buyer, lead, or commercial opportunity originating from the Platform, the Creator shall not, without the Platform's prior written consent, directly or indirectly list, market, use, license, sell, assign, transfer, distribute, or otherwise commercially exploit that AI Personality or related asset package outside the Platform or through any competing marketplace, reseller, agency, intermediary, or direct arrangement.

8.2 Anti-circumvention

The Creator agrees not to circumvent the Platform, including attempting to complete licensing, sales, transfers, or other transactions outside the Platform in order to avoid fees, restrictions, disclosures, buyer-protection controls, or premium transaction procedures.

8.3 Confirmed breach and immediate platform remedies

If the Platform determines in good faith, after review of reasonably available evidence, that the Creator has breached this Section 8, the Platform may immediately suspend or terminate the Creator account, remove the Creator and all associated content from the Platform, cancel unpublished listings, freeze or withhold payouts, and take any other reasonable protective action permitted by the governing documents and applicable law.

8.4 Liquidated damages

For each AI Personality or related asset package involved in a confirmed breach of this Section 8, the Creator shall pay the Platform liquidated damages in the amount of USD 25,000. The parties acknowledge that damages arising from off-platform exploitation, diversion of buyers, marketplace harm, evidentiary loss, and impairment of premium or exclusive transaction value would be difficult to quantify precisely at the time of contracting, and that this amount represents a reasonable pre-estimate of anticipated harm and is not a penalty.

8.5 Non-payment, set-off, and protective license

If liquidated damages or other amounts due under this Section 8 are not paid within 10 business days after written demand, the Platform may retain and set off any unpaid Creator balances and, in addition, the Creator grants the Platform an irrevocable, worldwide, royalty-free, sublicensable license, solely to the extent reasonably necessary for enforcement, mitigation, buyer servicing, archival, evidentiary preservation, compliance, and protection of existing transactions, to host, copy, store, reproduce, display, distribute to affected buyers where already owed, remove, disable, archive, and otherwise act upon the Creator's relevant content without any royalty, payout, or revenue share to the Creator.

Custom work remains subject to Platform policies and applicable fees unless expressly stated otherwise.

The Platform reserves the right to review, moderate, suspend, or remove AI Personalities or listings at its discretion to ensure compliance with Platform policies and applicable laws.

The Creator agrees to indemnify and hold harmless the Platform from any claims, damages, or losses arising from:

• breach of representations or warranties;
• misuse of AI Personalities;
• violation of third-party rights.

Either party may terminate participation in the Platform in accordance with Platform procedures.

Termination does not affect:

• existing valid licenses;
• accrued payment obligations;
• rights or liabilities arising prior to termination.

Sections relating to ownership, licenses, platform exclusivity, anti-circumvention, enforcement, indemnification, limitation of liability, governing law, and accrued payment obligations shall survive termination.

To the maximum extent permitted by law, the Platform shall not be liable for indirect, incidental, or consequential damages arising from Creator participation on the Platform.

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in the State of Delaware.

The Platform may update this Agreement from time to time.

Continued use of the Platform constitutes acceptance of the revised Agreement.
