Licensing Policy

1. Purpose and Scope
This Licensing Policy explains the platform-wide rules that apply when AI-People offers a Commercial License, an Exclusive License, or an Ownership / Assignment transaction for a digital AI persona asset package.
This Policy is an umbrella rules document. It describes the common licensing architecture, shared compliance rules, document hierarchy, and evidence of issuance. The transaction-specific agreement chosen at checkout or otherwise executed for a purchase governs the actual rights granted in that purchase.
2. Defined Transaction Terms
For purposes of this Policy, the following terms are used consistently across the licensing system:
- Licensed Asset: the specific AI persona, creative concept, or identified licensed item referenced in the order, purchase record, certificate, or supplemental schedule.
- Asset Package: the files and materials delivered with the transaction for the Licensed Asset.
- Deliverables: any additional files, prompts, datasets, source materials, documentation, or other listed materials expressly included in the transaction record or a supplemental schedule.
- License Certificate: the platform-issued certificate summarizing the completed transaction, the license type, the identified asset, the effective date, and the core granted rights.
3. Document Hierarchy
Each licensing transaction is interpreted in the following order:
- the Terms of Service;
- this Licensing Policy;
- the applicable transaction-specific agreement;
- the order, purchase record, certificate, and any supplemental schedules or disclosures.
If a transaction-specific agreement conflicts with this Policy on the scope of rights granted for that transaction, the transaction-specific agreement controls for that transaction. The Terms of Service and this Policy continue to govern platform conduct, compliance, moderation, and enforcement.
4. License Models
AI-People offers three core transaction models:
- Commercial License: a non-exclusive, non-transferable, fixed-term business-use license.
- Exclusive License: an exclusive commercial rights transaction for one buyer, without automatic ownership transfer.
- Ownership / Assignment: an assignment of transferable rights in the defined Licensed Asset and listed Deliverables, together with maximum contractual control permitted by law.
Product labels, summaries, or marketing copy are descriptive only. The governing agreement, purchase record, and certificate define the actual legal scope of the transaction.
5. Shared Rules Applicable to All Transactions
All license types remain subject to the following shared rules:
- full payment and successful transaction completion are required before rights take effect;
- use must remain lawful and consistent with the Terms of Service and applicable platform policies;
- no buyer may use licensed materials for unlawful, deceptive, infringing, defamatory, exploitative, or otherwise prohibited conduct;
- no buyer may present a Licensed Asset as a real, identifiable natural person or suggest unauthorized real person endorsement;
- no buyer may exceed the scope of rights expressly granted in the applicable agreement, order, certificate, or supplemental schedule;
- all rights not expressly granted remain reserved to the person or entity that retains them under the governing documents and applicable law.
6. Pre-Existing Rights and Later Premium Transactions
If a Commercial License has already been granted for a Licensed Asset, a later Exclusive License or Ownership / Assignment transaction does not automatically erase those earlier rights unless the governing documents expressly state otherwise and such a change is legally effective.
As a platform rule, pre-existing Commercial Licenses are intended to remain valid until their stated expiry dates, but they are not renewable once a later Exclusive License or Ownership / Assignment transaction for the same Licensed Asset becomes effective.
AI-People may disclose pre-existing active rights in the order flow, certificate, or supplemental schedules for premium transactions so that the buyer understands any remaining tail period before complete exclusivity or maximum control is realized.
7. License Certificates and Transaction Evidence
Each completed license transaction may be accompanied by a License Certificate generated by the platform and included with the delivered materials or buyer account records.
The certificate is evidence that a specific transaction was issued to a specific buyer for a specific Licensed Asset. It is a transaction summary and proof of issuance. It does not replace the governing agreement, order terms, supplemental schedules, or platform records.
The platform may also maintain versioned acceptance records, payment records, execution status, and supplemental schedules as part of the evidentiary package for a transaction.
8. Moderation, Restricted Content, and Prohibited Use
AI-People may restrict, review, suspend, remove, or refuse access to content or licensing transactions that violate law, platform policies, payment requirements, or moderation standards.
Prohibited use includes, without limitation:
- child sexual abuse or exploitation material, including synthetic or AI-generated variants;
- non-consensual sexualized content, deceptive deepfakes, or impersonation of real persons;
- illegal activity, fraud, malicious deception, or unlawful harassment;
- content or use that infringes third-party rights;
- hate speech, discriminatory abuse, or unlawful violent extremism.
NSFW or otherwise restricted content may require separate age confirmation, subscription level, or additional user consent before access is granted.
9. Enforcement, Suspension, and Remedies
AI-People reserves the right to investigate suspected misuse, request reasonable evidence of compliance, suspend access, terminate accounts, invalidate access to downloads, and pursue available contractual or legal remedies where misuse is identified.
Enforcement may be undertaken by the platform, the creator, the current rightsholder, or any combination of them, depending on the license type and the rights retained or transferred in the relevant transaction.
